The Senior Corporate Paralegal position will work in the Company's legal department to provide support to Omron Management Center of America, Inc. and its affiliates (Omron) with legal, risk, compliance and related (LRC) matters and, therefore, must be adept in driving tasks to completion and demonstrate the ability to collect, edit, and synthesize information in responding to LRC matters. This position reports to the Senior Corporate Counsel with dotted line reporting to the Associate General Counsel.

Responsibilities:

  • Manage projects, schedule meetings, track deadlines, and support communication between internal teams.
  • Maintain up to date corporate consents, minutes and other corporate records as well as required corporate filings.
  • Prepare notices, minutes, presentations and other materials relating to corporate meetings.
  • Support development and maintenance of contract templates, guidelines and processes to ensure they are accessible, up to date and efficient.
  • Assist with the maintenance and use of the legal contract portal for contract related requests.
  • Collaborate with the LRC team in the drafting, review and negotiation of contracts including intercompany agreements, sales agreements, vendor agreements, confidentiality agreements, and other agreements and assist in the overall management of contracts and related processes
  • Process agreements and other documents through DocuSign for electronic signatures.
  • Promote and maintain the LRC Record Centers and support general Omron records compliance.
  • Support all requested aspects of Omron litigation and legal claims, including internal reporting, interacting with insurance brokers, carriers, outside counsel and witnesses and collecting and preparing discovery documents,.
  • Support retention and management of outside counsel and other consultants, including management of budgets and Omron's Billing and Engagement Guidelines.
  • Provide timely and accurate support in compiling and responding to requests for records, including, subpoenas, audits, discovery, and other legal matters.
  • Maintain legal billing system and facilitate processing and payment of legal bills.
  • Support LRC department budget preparation and interaction with the finance and other departments and Omron Japan.
  • Other duties and miscellaneous projects as needed.

Job Requirements:

  • Bachelor's degree and/or paralegal certification or diploma and legal background required. Certified Paralegal (CP) designation preferred.
  • 4-7 years of professional experience as a paralegal.
  • Intermediate to advanced proficient in Microsoft Office Suite, especially Word, SharePoint, Teams, One Drive, Excel, and PowerPoint.
  • Experience with Thomson Reuters Legal Tracker and DocuSign a plus.
  • Professional level of written and verbal communication skills (foreign language skills a plus); critical thinking and research skills.
  • Knowledge of corporate law and legal research techniques.
  • Flexibility, and the ability to shift directions as needed
  • Proactive approach to problem solving
  • Ability to maintain absolute integrity of confidential information
  • Exceptional attention to detail, and follow-up skills and highly organized
